1. Master Private Listing Disclosure

PRIVATE & OFF-MARKET PROPERTY DISCLOSURE
The properties presented as “Private Listings” by Knowledge Base Real Estate, Inc. (“KBRE”) are offered on a limited, non-public basis and may not appear on the Multiple Listing Service (MLS) or public real estate websites. Private Listings fall into one of three categories, and each property is labeled accordingly:
Brokered Listing. The property is listed for sale by its owner of record under a listing agreement with KBRE.
Assignment of Contract. The seller of the contract position does not hold title to the property. The seller holds an equitable interest under a purchase agreement with the owner of record and is offering to assign its rights under that agreement to a buyer for a fee.
Double Close / Simultaneous Closing. The seller does not currently hold title to the property. The seller has the property under contract and intends to acquire title and resell it to the buyer in two separate, back-to-back closings, typically on the same day.
For Assignment and Double Close properties, the buyer’s ability to close depends on the performance of the underlying contract between the seller and the owner of record. KBRE does not guarantee that the underlying transaction will close. If it fails for any reason, the property may become unavailable and the buyer’s sole remedy will be as provided in the buyer’s written contract.

2. Status-Specific Disclosures

A. Brokered Listing
This property is listed for sale by its owner of record through Knowledge Base Real Estate, Inc. under a written listing agreement. It is being marketed privately at the seller’s direction and may not be available on the MLS. Information is deemed reliable but not guaranteed; buyer to verify all details.
B. Assignment of Contract
NOTICE TO BUYER — ASSIGNMENT OF CONTRACT. The party offering this property is NOT the owner of record. It holds an equitable interest under a purchase agreement with the owner and is offering to assign its rights and obligations under that agreement for an assignment fee. Buyer will step into the position of the purchaser under the underlying contract and must close on its terms, including closing date, deposit, and conditions. The underlying contract may limit or prohibit assignment, and the owner’s consent may be required. Buyer may request a copy of the underlying contract, as redacted, and should review it with counsel before signing. The assignment fee will be disclosed in writing and paid at closing. If the underlying contract terminates or fails to close, the assignment will be void, and any deposit will be handled as stated in the assignment agreement.
C. Double Close / Simultaneous Closing
NOTICE TO BUYER — DOUBLE CLOSING. The seller does NOT currently hold title to this property. The seller has a contract to acquire it from the owner of record and intends to buy and resell it in two separate closings, which may occur the same day. Buyer’s purchase is expressly contingent on the seller first acquiring marketable title. If the seller cannot acquire title for any reason, buyer’s contract may be terminated, and buyer’s deposit will be returned as stated in the purchase agreement. Buyer’s lender, if any, may impose seasoning or title-history requirements that could affect financing. Buyer should confirm with its lender and closing agent before signing.

3. Licensee Interest Disclosure
